Position Overview
Under the guidance of the Executive Director, the Chair’s principal responsibility is to facilitate HSF Board of Directors meetings and provide leadership to Board members. This is a NON-VOTING position and the incumbent must apply the Robert’s Rules of Order to ensure professional and productive meetings.
Responsibilities
1. Meetings:
- Develop meeting agendas with the Executive Director
- Preside over all Board meetings and Bi-Annual General meetings
- Guide and mediate Board actions with respect to organizational priorities and governance concerns
- Chair meetings according to accepted rules of order and drive Board discussion toward consensus
2. Board Performance:
- Ensure all Board members are aware of and fulfill their governance responsibilities as outlined in their job description
- Ensure the Board complies with HSF constitution and policies
- Ensure Board members are held accountable for their performance and representation
- Ensure the Board conducts its business effectively and efficiently
3. Administrative
- Prepare a short end-of-term report reflecting on the past year, offering suggestions for improvement
Minimum Requirements
- Flexible and accessible for all Board meetings
- Excellent communication and interpersonal skills
- Must be observant and informed of the HSF policy procedures and constitution
- Previous HSF or BOD experience an asset
- Knowledge of Robert’s Rules also an asset
